CONSTITUTION
Preamble
We declare and establish this constitution to preserve and secure the principles of our faith, and to govern the body in an orderly manner. This constitution will preserve the liberties of each individual church member and the freedom of action of tis body in its relation to other churches.
- Name
This body shall be known as First Baptist Church of Harahan, LA, located at 276 Oak Avenue, Harahan, Louisiana 70123.
- Objectives
To be a dynamic spiritual organism empowered by the Holy Spirit to share Christ with as many people as possible in our church, community, and throughout the world.
To be a worshiping fellowship, experiencing an awareness of God, recognizing His person, and responding in obedience to His leadership.
To experience an increasingly meaningful relationship with God and fellow believers.
To help people experience a growing knowledge of God and man.
To be a church that ministers unselfishly to persons in the community and world in Jesus’ name.
To be a church whose purpose is to be Christlike in our daily living by emphasizing total commitment of life, personality, and possessions to the lordship of Christ.
- Statement of Faith
The Holy Bible is the inspired word of God and is the basis for any statement of faith. The church subscribes to the doctrinal statement of “The Baptist Faith and Message” as adopted by the Southern Baptist Convention in 1963. We band ourselves together as a body of baptized believers in Jesus Christ personally committed to sharing the good news of salvation to lost mankind. The ordinances of the church are baptism and the Lord’s Supper.
- Polity and Relationships
The government of this church is vested in the body of believers who compose it. Persons duly received by the members shall constitute the membership.
All internal groups created and empowered by the church shall report and be accountable only to the church, unless otherwise specified by church action.
This church is subject to the control of no other ecclesiastical body, but it recognizes and sustains the obligations of mutual counsel and cooperation which are common among Baptist churches. Insofar as is practical, this church will cooperate with and support the Baptist Association of Greater New Orleans, The Louisiana Baptist Convention and the Southern Baptist Convention.
- Church Covenant
Having been led as we believe by the Spirt of God to receive the Lord Jesus Church as our Lord and Savior and, on the profession of our faith, having been baptized in the name of the Father, and of the Son, and of the Holy Spirit, we do now in the presence of God and this assembly most solemnly and joyfully enter into covenant with one another as one body in Christ.
We engage, therefore, by the aid of the Holy Spirit to walk together in Christina love; to strive for the advancement of this church in knowledge, holiness, and comfort; to promote is prosperity and spirituality; to sustain its worship, ordinances, doctrines, and discipline; to contribute cheerfully and regularly to the support of the ministry, the expenses of the church, and the relief of the poor, and the spread of the gospel through all nations.
We also engage to maintain family and private devotions; to religiously educate our children; to seek the salvation of our kindred and acquaintances; to walk circumspectly in the world; to be just in our dealings, faithful in our engagements, and exemplary in our deportment; to avoid all tattling, backbiting and excessive anger; to abstain from the sale of and use of intoxicating drinks as a beverage; to use our influence to combat the abuse of drugs and the spread of pornography; and to be zealous in our efforts to advance the kingdom of our Savior.
We further engage to watch over one another in brotherly love; to remember one another in prayer; to aid one another in sickness and distress; to cultivate Christian sympathy in feeling and Christian courtesy in speech; to be slow to take offense, but always ready for reconciliation and mindful of the rules of our Savior to secure it without delay.
We moreover engage that when we remove from this place we will as soon as possible unite with some other church where we can carry out the spirit of this covenant and the principles of God’s word.
BY-LAWS
- Church Membership
Section 1. General
This is a sovereign and democratic Baptist church under the lordship of Jesus Christ. The membership retains unto itself the exclusive right of self-government in all phases of the spiritual and temporal life of this church.
The membership reserves the exclusive right to determine who shall be members of this church and the conditions of such membership.
Section 2. Candidacy
Any person may offer himself has a candidate for membership in this church. All such candidates shall be presented to the church at any regular church service for membership in any of the following ways:
- By profession of faith and for baptism according to the polies of this church.
- By promise of a letter of recommendation from another Baptist church whose doctrine is in agreement with the Baptist Faith and Message as adopted by the Southern Baptist Convention in 1963.
- By statement of prior conversion experience and baptism by immersion which is in agreement with the Baptist Faith and Message as adopted by the Southern Baptist Convention in 1963.
- By Watchcare membership. Watchcare Membership is a means by which we recognize Christian friends of denominations other than Baptist who desires the spiritual ministry and fellowship of this church while residing temporarily in this community. To cover under Watchcare Membership, one must have confessed his faith in Jesus Christ as his Lord and Savior, be a member of some evangelical Christian fellowship, and had previous consultation with the Membership Committee. Watchcare Membership status does not involve the transfer of church membership, but is a way of recognizing fellow Christians and rendering them spiritual service. Those under Watchcare Membership are not to be considered voting members of the church. They are not eligible for election as deacon but are qualified under the terms of their membership to serve in positions of leadership where the matter of doctrinal teaching is not involved. Examples include, choir, nursery work, ushering, committee work, library, food service, pre-school work etc.
Should there be any dissenting vote as to any candidate, such dissent shall be referred to the membership committee for investigation and the making of a recommendation to the church within thirty (30) days. A three-fourths (3/4) vote of those church members present and voting at any regular church service shall be required to elect such candidates to membership.
Section 3. Active and Inactive Membership.
- Active Membership.
- Definition. All church members who regularly participate in the ministry and fellowship of this church.
- Active members will be entitled to all of the rights and privileges of membership which shall include:
- The right to vote in church matters.
- The right to hold church office.
- The right to hold teaching position.
- The right to have a voice in any church matter.
- Inactive Membership.
- Definition. Members who do not participate in the ministry and fellowship of this church on a regular basis.
- No participation in the worship or ministry of the church for the period of one year.
- Non-resident members who live outside the area of the Baptist Association of Greater New Orleans and who do not attend on a regular basis.
- Inactive membership will be established when:
- The member relocated from the local community and request such action.
- The Membership Committee initiate such a recommendation based upon the demonstrated inactivity of individual member.
- The recommendation is approved by the Church in a regular business meeting by a majority of those present and voting.
- The member being considered for inactive status will be notified by letter prior to the formal recommendation and will be given an opportunity to demonstrate activity or to show cause why he or she should not be placed in inactive status. The time and date of the meeting during which the recommendation will be made will be included in the letter of notification. If the Church does not hold a good address or for any other reason is unable to contact the member, he or she will be placed on inactive membership without formal notification.
- Inactive membership will result in:
- Removal of the right to vote in Church matters.
- Removal of the right to hold Church office.
- Removal of the right to hold a teaching position of any type.
- Removal of the right to have a voice in any matter of the church.
- Definition. Members who do not participate in the ministry and fellowship of this church on a regular basis.
- Reinstatement to Active Membership.
- Reinstatement to active membership may be accomplished when:
- An out of town inactive member returns to the local community and or establishes regular attendance.
- Upon the request of the local inactive member with the concurrence of the Membership Committee, after meeting with the applicant, the approval of the Church (a majority of those present and voting), and the successful completion of a three month probationary period during which regular participation is demonstrated.
- Reinstatement to active membership may be accomplished when:
Section 4. New Member Orientation
New members of this church are expected to participate in the church’s new member orientation program.
Section 5. Voting and Rights of Members
- Every active member of the church, except Watchcare, is entitled to vote at all elections and on all questions submitted to the church in conference, provided the member is present or provision has been made by the church for absentee balloting.
- Every active member of the church is eligible for consideration by the membership as candidates for elective offices in the church. Watchcare members will be eligible within the scope of their membership.
- Every member of the church may participate in the ordinances of the church as administered by the church.
Section 6. Termination of Membership
Membership shall be terminated in the following ways:
- Death of the member.
- Dismission to another Baptist church.
- Exclusion by action of this church.
- Erasure upon written request or proof of membership in a church of another denomination.
- In active status for one year.
Section 7. Discipline
It shall be the practice of First Baptist Church to emphasize to its members that every reasonable measure will be taken to assist any troubled member. The pastor, other members of the church staff, and deacons are available for counsel and guidance. The attitude of members toward one another shall be guided by a concern for redemption rather than punishment.
Should some serious condition exist which would cause a member to become a liability to the general welfare of the church, the pastor and the deacons will take every reasonable measure to resolve the problem in accordance with Matthew 18. If it becomes necessary for the church to take action to exclude a member, a two-thirds vote of the members present is required and the church may proceed to declare the person to be no longer in the membership of the church. All such proceedings shall be pervaded by a spirit of Christian kindness and forbearance.
Any person whose membership has been terminated for any condition which has made it necessary for the church to exclude him may upon his request be restored to inactive membership by a vote of the church, two-thirds present concurring, upon evidence of his repentance and reformation. Active status may then be achieved by the procedures previously established.
- Church Officers
The officers of this church shall be the pastor, the church staff, the deacons, a clerk, a treasurer, and trustees. All who serve as officers of the church shall be active members of this church.
Section 1. Pastor
The pastor is responsible for leading the church to function as a New Testament church. The pastor will lead the congregation, the organizations, and the church staff to perform their tasks.
The pastor is leader of pastoral ministries in the church. As such he works with the deacons and church staff to:
- Lead the church in the achievement of its mission.
- Proclaim the gospel to believers and unbelievers.
- Care for the church’s members and other persons in the community.
The following will be the responsibilities of the pastor:
- He is the spiritual leader and overseer of the congregation.
- Proclaim the gospel and lead the church in proclaiming the gospel to the church and community.
- Lead the staff and the church in a caring ministry for person in the church and the community.
- Lead or delegate the leadership of the congregational services, plan, coordinate and evaluate congregational services.
- Preach at all worship services which include preaching or arrange for someone else to perform this function.
- Provide administrative leadership for the total church program.
- Serve as chairman or delegate and share the leadership of the Church Council with such other staff members as he may, from time to time, designate.
- Serve as moderator of the church.
- Recommend and advise on the selection of all staff members and in determining their duties.
- Give supervision to other members of the church staff according to the staff organization set forth in the Church Organizational Chart.
- Plan for and provide leadership in the observance of the church ordinances.
- Conduct funeral services and wedding ceremonies as he is able, sharing and delegating to others on the staff responsibilities in this area.
- Appoint such special committees as the church may request or that he may deem advisable from time to time.
- Counsel with and assist in training deacons for their responsibilities.
- Serve as Ex Officio member of all church committees.
A pastor shall be chosen and called by the church whenever a vacancy occurs. The election shall take place at a meeting called for that purpose, of which at least one week’s notice to the active church membership has been given.
A pastor selection committee shall be elected by the church to seek out a suitable pastor, and its recommendations will constitute a nomination. Any church member has the privilege of making other nominations according to the policy established by the church. The committee shall bring to the consideration of the church only one name at a time. Election shall be by ballot, an affirmative vote of three-fourths of those present being necessary for a choice. The pastor, thus elected, shall serve until the relationship is terminated aby his request for by the request of the church.
The pastor may relinquish the office as pastor by giving at least two weeks’ notice to the church at the time of resignation. The church may declare the office of pastor to be vacant. Such action shall take place at a meeting called for that purpose, of which at least one week’s notice to the membership has been given. The meeting may be called upon the recommendation of a majority of the personnel committee and the deacons or by written petition signed by not less than one fourth plus one of the active church members. The moderator for this meeting shall be designated by the members present by majority vote, and he shall be someone other than the pastor. The vote to declare the office vacant shall be by secret ballot, an affirmative vote of three fourths of the members present being necessary to declare the office vacant. Except in instances of gross misconduct by the pastor so excluded from office, the church will compensate the pastor with not less than two twelfths of his total annual compensation. The termination shall be immediate and the compensation shall be rendered in not more than thirty days.
Section 2. Church Staff
The ministerial staff shall be called and employed as the church determines the need for such offices. A job description shall be written when the need for a staff member is determined. Those staff members of whom the church requires evidence of a personal call, of God to minister shall be recommended to the church by the personnel committee and called by church action with an affirmative vote of three fourths of the members present and voting. At the time of resignation at least two weeks’ notice shall. be given to the church. The church may vote to vacate such positions upon recommendation of the personnel committee, three fourths of the members present and voting, such termination being immediate and the compensation conditions being the same as for the pastor, except that the amount shall relate to the individual’s compensation. Dismissal for gross misconduct shall carry no compensation.
Non ministerial staff members shall be employed as the church determines the need for their services. The church personnel committee shall have the authority to employ and to terminate services of non ministerial staff members. Such employment and termination of services shall be with the recommendation of the supervising staff member and, as appropriate, with the consultation of related committees of the church.
Section 3. Deacons
The church may have one deacon for every fifteen (15) resident family units. A family unit is defined as an individual household as viewed in the traditional family sense. A single person may comprise a household.
The deacon will have the following qualifications:
- He shall be a man, at least twenty—five (25) years of age, and a member of the church in good standing.
- He shall conform to the qualifications of the New Testament for deacons as set forth in Acts 6 and I Timothy 3.
- He shall have been a Christian for at least three (3) years and an active member of this church for at least one (1) year.
- He must be a tither.
- He must support by active participation the total program of the church, including Sunday School, Church Training, both Sunday worship services, and the mid—week service.
- There shall be no obligation to constitute as an assigned deacon one who has been a deacon in another church but in such instances as one might be chosen by this church for assignment as a deacon, his previous ordination by another church of like faith and order shall suffice for this church.
Deacons shall serve on a rotation basis. Each year the assigned term of office of one third of the number of deacons shall expire, and election shall be held to fill vacancies and to add to the deacons such numbers as the church size warrants.
Nominations for deacon will be made by the church at large from a master list of resident male members who are at least twenty-five (25) years of age and who have been Christians for a minimum of three years and church members for at least one year. The ballot shall be published at least two Sundays prior to the nomination. The Deacon body will be responsible for the assembly and publication of the ballot. If a corrected ballot is necessary, it will be published at least one Sunday prior to the nomination. On the day of nomination, church members will vote to nominate the number of deacons on their ballot that are required. The ballots will be tabulated by the active Deacon body and a list assembled in the order of votes received. This list will not be presented to the church at large. The active deacon body wilt screen and interview each candidate, in vote sequence, to determine his qualification and willingness to serve. When the required number have been verified, those names will be presented to the church.
In case of death or removal or incapacity to serve, the church may elect a deacon to fill the unexpired term. After serving a three year term of assignment, a deacon shall be eligible for reelection to active status only after the lapse of at least one year.
In accordance with the meaning of the work and the practice in the New Testament, deacons are to be servants of the church. Their task is to serve with the pastor and staff in performing the pastoral ministries tasks of:
- Proclaiming the gospel to believers and unbelievers.
- Personal witnessing activities,
- Preaching as a layperson,
- Church revival support.
- Caring for the church’s members and other persons in the community.
- Ministering in times of crisis,
- Listening to burdened persons,
- Referring persons in need to qualified sources for assistance,
- Counseling on vocational guidance and family ministry.
- Building Christian fellowship among church members.
- Sharing information about the church’s life and work,
- Assisting in administering ordinances.
- Serving as an exemplary Christian leader.
- Set an example in Christian life-style,
- Set an example in church leadership responsibilities,
- Give personal support to church activities.
- Maintain accurate member records. This includes:
- Adding new names and pertinent information to the chronological membership roll and dropping other names as necessary through transfer, inactivity, or death.
- Correcting records for change of address or phone number.
- Sending a memo as needed to all church personnel keeping separate records to avoid incorrect information.
- Request letters by transfer from other churches for new members, forward letters to other churches requested by members, and notify persons when their names are removed from. the church roll for any reason other then transfer of membership by letter.
- Prepare and mail all official church correspondence.
- Preserve records for present and future use.
- Prepare the annual church letter to the association, submit for church approvaland send to associational office.
- Provide statistical information on the church membership as requested.
- Serve as an active member of the Church Council.
Section 5. Treasurer
The church shall elect annually a church treasurer as its financial officer. The church treasurer is responsible for the proper receipt, accounting, and disbursement of church funds within policies established by the church for adequate financial control. The treasurer may also serve as the financial secretary or this position may be delegated as a separate position. The specific duties of the treasurer will include:
- Keep accurate records in appropriate financial journals of all money received and disbursed.
- Reconcile monthly bank statements and correct ledgers as needed.
- Sign checks in accordance with church policies and procedures, always verifying supporting data for each check request.
- Make monthly and annual reports to the Finance Committee and the church.
- Provide for records of individual contributions to be maintained.
- Suggest possible investment opportunities, advise about bonds purchasing.
- Keep the church staff informed of any trends of changes in fiscal matters.
- Instill and preserve high financial morale throughout the congregation.
- Submit accurate financial records for annual audit according to church policy.
- Serve as a member of the Finance Committee
- upon rendering the annual account at the end of each fiscal year and its acceptance and approval by the church, the records shall be delivered to the church clerk, who shall keep and preserve the account as a part of the church records for a period of at least five years.
- Serve as an active member of the Church Council.
Duties of the Financial Secretary:
- Post offerings weekly to individual accounts, file envelopes.
- Provide an annual statement of giving to each contributing member.
- Provide statistical financial data as requested by the treasurer, Finance Committee, and/or the church staff.
- Serve as an ex officio member of the Church Council.
Section 6. Trustees
The trustees serve as legal representatives in all transactions related to the church. They hold legal title to the church property and they sign all documents related to the purchase, sale, mortgaging, or rental of church property after approval by the church in regular business session. There shall be a minimum of three trustees, each elected to a three (3) year term. Terms will be staggered in so far as possible. At the expiration of a three year term, a period of one (1) year must pass before that person becomes eligible to serve again. The specific duties of the trustee will include:
- Hold legal title to all church property (as required by state law) and act only as directed by the church in regular business session.
- Sign all legal documents involving church property, upon direction by the church in regular business session.
- Maintain an up—to-date inventory of all church property, mortgage loans, and insurance on church property. (Such information should be kept in a safety deposit box with copies available in the church office for ready reference.)
- Serve as an ex officio member of the Church Council.
- Church Officers
The committees of a church exist to plan, coordinate, implement, and evaluate the work assigned to them by the church. The purpose for organizing committees within this church is:
- To spread the administrative load among members of the congregation and broaden participation.
- To delegate responsibility in order that the tasks of the church might be accomplished in a more efficient manner.
- To utilize the skills and talents of members of the congregation in ministry.
- To assist in planning the program of the church.
- To provide opportunity for differing points of view to be presented and reconciled.
- To help the church in decision making.
All church committee members shall be recommended by the nominating committee and elected by the church unless otherwise indicated in the description below. As a general rule committees shall be elected annually. The Nominating Committee will also present to the church for election a recommendation for Chairman for each committee. The duties of the Chairman will include:
- Know the purpose, duties and members of the committee.
- Request and administer committee budgeting.
- Serve as an ex officio member of the Church Council.
- Plan the agenda for each meeting of the committee.
- Conduct meetings.
- Each meeting should have a purpose.
- Each meeting should have an agenda.
- Each meeting needs resources.
- Each meeting should plan for follow-up.
- Each meeting should be reported.
- Supervise the work of the committee secretary.
- Assign responsibility to committee members for follow-through actions.
- Lead the committee to:
- identify and schedule some activities/projects.
- Develop a sequence of actions.
- Prepare a timetable.
- Determine the resources needed.
- Complete activities/projects.
- Report committee actions, as appropriate, to the Church Council and/or the church business meeting.
- Collaborate, as necessary or desirable, with church staff members, church officers, Church Council, Deacons, church program directors, and other committees.
Each committee member will have the following responsibilities:
(1) Know the purpose, duties, and members of the committee.
(2) Be present and on time for meetings.
(3) Participate in discussions.
(4) Contribute to the planning and achievement of activities/projects.
(5) Complete assignments as agreed upon.
(6) Keep the committee chairperson informed about progress on assignments, report at committee meetings.
The following standing committees will be formed:
Section 1. Baptism Committee
This committee will be composed of at least one deacon and his wife. The duties of this committee will be:
(1) To meet with the candidates and the pastor for instructions prior to each baptismal service.
(2) To assist the candidates before, during and after the baptism.
(3) To Assist the pastor in any way requested.
Section 2. Benevolent Fund committee
The duties of this committee will be:
(1) To investigate any request for benevolent assistance received by the church.
(2) To make an appropriate recommendation to the pastor as to a proper disposition of the request.
Section 3. Building and Grounds/Pastorium Committee
This committee will be composed of at least three (3) members. The duties of this committee will be:
(1) To be responsible for the safe keeping, protection, maintenance, and repair of the buildings, grounds, operating facilities, and attached equipment including heating, cooling, and lighting.
(2) To be responsible for seeing that all, the equipment is in proper operating condition.
(3) To make recommendations or take actions should an emergency require, regarding the replacement of worn out items of equipment, landscaping and care of grounds and maintenance of safe conditions and parking facilities.
(4) To Work with the pastor and the Personnel Committee concerning the needs for maintenance personnel by assisting in the interview of applicants and making recommendations.
(5) To consult with the pastor in preparing an annual budget for the committee and recommend it to the Finance committee.
(6) The chairman of the committee to serve as a member of the Church Council.
Section 4. Bulletin Committee
The duties of this committee will be:
(1) To organize, arrange, and produce the weekly bulletin for Sunday services.
Section 5. The Church Council
Church Council will be composed of the following members:
- Pastor—Chairman
- Called Staff
- Church Secretary— Recorder
- Church Clerk—Recorder in absence of a Church Secretary
- Treasurer
- Chairman of Trustees
- Chairman of Deacons
- Sunday School Director
- Church Training Director
- Committee Chairman of:
(a) Building and Grounds/Pastorium Committee
(b) Executive Board
(c) Finance Committee
(d) Missions Committee—WMU/Brotherhood
(e) Mimic Committee
(f) Nominating Committee
(g) Personnel Committee
(h) Outreach Director
(i) Youth Committee
The duties of the Church Council will be:
(1) To outline and propose a program of evangelism, training, teaching and enlistment for the church
(2) To outline a church calendar of activities for accomplishing these objectives.
(3) To coordinate all church program ministries and activities.
(4) To evaluate the results of all programs, ministries, and activities and be prepared to recommend changes where needed.
(5) To recommend activities and procedures to the church program organizations.
The objectives of the Church Council will be:
(1) To determine the focus and scope of the ministry of the church, both now and in the future.
(2) To use church resources wisely.
(3) To identify priorities.
(4) To coordinate the church calendar of activities.
(5) To enrich fellowship.
Section 6. Education Committee
This committee will be composed of the following:
(1) Minister of Education—Chairman
(2) Sunday School Director
(3) Church Training Director
(4) Department Directors of:
(a) Adult
(b) Youth
(c) Children
(d) Pre-School
(5) Vacation Bible School Director
The duties of this committee will be:
(1) To serve as the advisory committee to the Minister of Education giving guidance to the planning, coordination, operation and evaluation of all programs within the Educational Ministry.
(2) Work with the Building and Grounds Committee in maintenance of all educational spaces.
(3) To work with the Personnel committee relative to the creation and/or filling of positions on the Educational Ministry staff (Nursery worker etc.).
(4) To Design various ways to help the educational organization/ committees inform the church membership of the total efforts within the educational ministry.
(5) This committee will not be limited to its members for formulating
objectives or programs but will feel free to seek help from any other source that would seem to be for the benefit of the church.
(6) To formulate an annual budget for the education program of the church and present the recommendation to the Finance Committee for planning.
(7) To administer the student loan fund by making recommendations on requests for student loans, seeing that proper papers are signed and checks delivered when loans are made, and setting up a system for collection of all loans when due.
Section 7. Executive Board
This committee will consist of one member elected annually. The duties of this committee will be:
(1) To be a member of the Executive Board of the Baptist Association of Greater New Orleans.
(2) To represent the church in all matters pertaining to associational work.
(3) To keep the church informed about associational activities. Changes in the constitution and by—laws may be made at any regular business meeting of the church provided that each amendment will have been presented in writing at a previous business meeting and copies of the proposed amendment will have been furnished to each member present at the earlier meeting. Amendments to the constitution will be by two-thirds vote of the church members present. Amendments to the by-laws will have a concurrence of a majority of the members present and voting.
Section 8. Finance Committee
The function of this committee will be to plan and promote stewardship education in all areas of church life and to lead the church in budget planning, promotion, subscription, and administration. The duties of the committee will be:
(1) Estimate anticipated income based on previous year’s church income, prevailing economic conditions, past year’s giving record of membership and anticipated plans for the growth.
(2) Request that church leaders submit an itemized list of budget needs for the coming year by October let of each year.
(3) Bring all of these lists together for the first meeting of the committee and if it is necessary notify church leaders to be present at a subsequent meeting to speak to their request.
(4) After evaluation and necessary advisements are made, prepare a budget for presentation to the church for approval.
(5) Consider all requests for expenditures for budget items when money is not currently available In any given section.
(6) Hear requests for extra—budgeting ~financial expenditures and revisions and make recommendations as necessary to the church.
(7) Advise the church on financial undertakings as to soundness and effect on financial structure and credit standing of the church.
(8) Review the monthly financial report submitted by the Treasurer, making any recommendations necessary.
(9) Consider all requests to receive additional special offerings and make recommendations.
(10) Provide for an annual audit of all church financial records and books.
Section 9. Flower Committee
The duties of this committee will be:
(1) To send flowers as memorials in the name of the church as required.
(2) To arrange for fresh flowers in the auditorium or other church areas as recorded on the church flower calendar or as the church directs.
Section 10. Kitchen Committee
The duties of this committee will be:
(1) Regulate and control the operation of the kitchen.
(2) Ensure that adequate kitchen supplies are present in the kitchen at all times.
Examples: Napkins, cups, paper plates etc., financial arrangements for payment reimbursement to be made with the Finance committee and Treasurer.
(3) Recommend the purchase of any necessary kitchen equipment.
(4) Supervise the organization of the kitchen and fellowship hall for any special church events.
Section 11. Library Committee
The duties of this committee will be:
(1) To maintain an adequate church library of materials and equipment.
(2) To actively promote the use of library service materials and equipment in all
church activities and programs.
(3) To enlist volunteer personnel to adequately staff the library.
(4) To select, catalogue, and keep in good condition all, books, * periodicals, library and visual aids materials and equipment.
(5) To advise on the procurement and maintenance of all library services equipment.
(6) To provide and coordinate training programs as necessary to prepare all church workers in the proper use of library service aids.
(7) To see that the library is properly organized. Keep books, periodicals, visual aids, and library service equipment properly arranged. Schedule, announce and keep definite hours.
(8) To schedule and provide qualified operators for all library services equipment.
(9) To prepare an annual budget and recommend the budget to the Finance Committee.
Section 12. Lord’s Supper Committee
The duties of this committee will be:
(1) To prepare the table prior to the observance. This includes:
(a) Arrange for the bread and grape juice.
(b) Prepare the trays and plates.
(2) Inform deacons of changes, special services, or unusual procedures.
Section 13. Membership Committee
This committee will be composed of the Chairman of the Deacons, the President of the WMU and three members elected from the church at large. The duties of this committee will be:
(1) To make recommendations to the church concerning matters pertaining to church membership.
(2) To make recommendations to the church concerning the assignment to and removal from the inactive membership list.
Section 14. Missions Committee
This committee will be composed of the President of the Woman’s Missionary Union, The President of the Brotherhood and such other individuals as the church may elect. The duties of this committee will be:
(1) To serve as liaison between the church and any operating missions.
(2) To study the opening of new missions on the basis of committee activity and study and other requests.
(3) To promote mission activities in the church program.
(4) In consultation with the appropriate staff member, prepare an annual budget and recommend it to the Finance Committee.
Section 15. Music Committee
This committee will be composed of:
(1) Minister of Music—Chairman
(2) President of any choir
(3) Such other persons as the church may designate
The duties of this committee will be:
(1) Assist the members of the music staff in developing the music program of the church and work with them on plans, procedures and programs.
(2) Assist in providing pianists and choristers where and when needed.
(3) Determine the need for and recommend the procurement and maintenance of musical instruments or such other equipment as may be required in support of the music program.
Section 16. Nominating Committee
The function of this committee is to lead the church in the staffing of all church—elected leadership positions filled by volunteers and to approve all workers before they are enlisted to serve in church—elected positions. The duties of this committee will be:
(1) To recommend all members of every standing committee.
(2) To recommend all members of every special committee.
(3) To recommend a chairman for each standing committee.
(4) To recommend a chairman for each special committee when the committee is elected.
(5) To recommend all church—elected leadership for the Sunday School., Church Training, Woman’s Missionary Union, Brotherhood, and any other ministry programs.
(6) To recommend all church officers.
Section 17. Nursery/Preschool Committee
This committee will. consist of the Nursery Coordinator and any other persons that the church might elect. The duties of this committee will. be
(1) To see that the Nursery/Preschool is open and staffed for all church services and special meetings.
(2) To recruit and enlist volunteer workers.
(3) To recommend needed changes in equipment, personnel etc. in the Nursery/Preschool area.
(4) To review annually the Nursery/Preschool policies, make changes and submit major changes to the church for adoption.
(5) To assist in the employment of paid workers by interviewing applicants and making recommendations.
(6) To prepare an annual budget for recommendation to the Finance Committee.
Section 18. Personnel Committee
The duties of this committee will be:
(1) in consultation with the pastor, to recruit, interview, and recommend the employment of all paid ministry and staff positions with the exception of the pastor.
(2) To consult with the Finance Committee in developing and budgeting salary schedules and benefit provisions for all church staff members annually.
(3) To consult with the Finance Committee in budgeting for any additional church staff members.
(4) To prepare and update ~b descriptions as required.
(5) To develop church policies and procedures relating to church staff personnel
Section 19. Usher’s Committee
The duties of this committee will be:
(1) To enlist and instruct ushers and greeters to serve at all services of the church.
(2) To assure that the auditorium is in comfortable physical order before each service.
(3) To check to make sure offering plates, bulletins, and other needed aids and supplies are in their proper place.
(4) To greet people and provide each person with a bulletin.
(5) To create an atmosphere of genuine welcome and concern for all attending the service.
(6) To seat people according to their wishes or as seats are available.
(7) To take care of reserved sections for special guests.
(8) To provide visitors cards to visitors as required.
(9) To be attentive to the needs of persons during the services.
(10) To give direction and answer questions as needed.
(11) To greet the people at the close of the service.
(12) To be responsible for introducing visitors to members nearby.
Section 20. Vacation Bible School committee
The duties of this committee will be:
(1) To plan, coordinate, and conduct a Vacation Bible School annually during the summer school vacation for children, youth and adults as directed by the Church Council
(2) To recommend to the Finance Committee an appropriate budget to support the Vacation Bible School Program.
Section 21. Youth Committee
The duties of this committee will be:
(1) To serve as an advisory committee to the Youth Director and help plan all programs and ministries for the youth of the church.
(2) To supervise and provide chaperones for youth functions as requested.
(3) To promote and publicize the youth activities of the church.
(4) To prepare and present to the Finance Committee annually a budget recommendation for the youth program.
- Program Organizations
The church will maintain programs of Bible teaching, church member training, church leader training, new member orientation, mission educator vacation, and support and music education, training and performance. All organizations related to the church programs will be under church control,, all officers being elected by the church and reporting regularly to the church. All program activities will be subject to church coordination and approval. The church will provide the human resources, the physical resources, and the financial resources for the appropriate advancement of these programs.
Section 1. Sunday School
The Sunday School will. be the basic organization for the Bible teaching program. Its tasks will. be to teach the biblical revelation, reach persons for Christ and church membership, perform the functions of the church within its constituency, provide and interpret information regarding the work of the church and denomination. The Sunday School will be organized by departments and/or classes, as appropriate for all ages, and will be conducted under the direction of the Sunday School Director elected by the church.
Section 2. Church Training
The Church Training organization will serve as the training unit of the church. It will be divided into departments for all ages and conducted under the direction of the Church Training Director elected by the church. Its tasks will be to train church members to perform the functions of the church, train church leaders, orient new church members, teach Christian theology, Christian ethics, Christian history, church polity and organization, and provide and interpret information regarding the work of the church and denomination.
Section 3. Woman’s Missionary Union
The Woman’s Missionary union will be the mission education, mission action, and mission support organization of the church for women, young women, girls, and preschool children. Its tasks shall be to teach missions, engage in mission action, support world missions through praying and giving and provide and interpret information regarding the work of the church and denomination. The Women’s Missionary Union will have such officers and organization as the program requires.
Section 4. Brotherhood
The Brotherhood will be the church’s organization for mission education, mission action, and mission support for men, young men, and boys. Its tasks will be to teach missions, engage in mission action, support world missions through praying and giving, and provide and interpret information regarding the work of the church and denomination. The Brotherhood will have such officers and organization as the program requires.
Section 5. Church Music Program
The Church Music organization, under the direction of the church-elected music director, will be the music education, training, and performance organization of the church. Its tasks will be to teach music, train persons to lead, sing, and play music, provide music in the church and community, and provide and interpret information regarding the work of the -church and denomination. The Church MUSIC program will have such officers and organization as the program requires.
- Church Ordnances Section
Section 1. Baptism
This church will receive for baptism any person who has accepted Jesus Christ as Savior by personal faith, who professes Him publicly at any worship service and who indicates a commitment to follow Christ as Lord.
(1) Baptism will by immersion in water.
(2) The pastor, or whomever the church shall authorize, will.
administer baptism. The deacons will assist in the preparation for, and the observance of, baptism.
(3) Baptism will be administered as an act of worship during any worship service of the church.
(4) A person who professes Christ and is not baptized after a reasonable length of time will be counseled by the pastor and/or staff or deacons. If negative interest is ascertained on the part of the candidate, he will. be deleted from those awaiting baptism.
- Church Meetings
Section 1. Worship Services
The church will, meet regularly each Sunday morning, Sunday evening and Wednesday evening for the worship of Almighty God. Prayer, praise, preaching, instruction, and evangelism will be among the ingredients of these services. The pastor will direct the services for all the church members and for all others who may choose to attend.
Section 2. Special Services
Revival services and any other meetings essential to the advancement of the church’s objectives will be placed on the church calendar.
Section 3. Regular Business Meetings Amended 5/12/93
The church will hold regular business meetings on the Wednesday following the second Sunday of each month.
Section 4. Special Business Meetings
The church may conduct called business meetings to consider matters of a special nature and significance. A one-week notice must be given for the specially called business meeting unless extreme urgency renders such notice impractical. The notice will include the subject, the date, and time and place, and it must be given in such a manner that all active resident members have opportunity to know of the meeting.
Section 5. Quorum
The quorum consists of those members who attend the business meeting, provided it is a stated meeting or one that has been properly called.
Section 6. Parliamentary Rules
Robert’s Rules of Order, Revised, is the authority for parliamentary rules of procedure for all business meetings of the church.
- Church Finances
Section 1. Budget
The Finance Committee, in consultation with the Church Council, will prepare and submit to the church for approval an Inclusive budget, indicating by items the amount needed and sought for all local and other expenses. Offering envelopes will be provided for members’ use, it is understood that membership in this church involves financial obligation to support the church and its causes with regular, proportionate gifts.
Section 2. Accounting Procedures
All funds received for any and all, purposes shall pass through the hands of the church treasurer and be properly recorded on the books of the church. Those who have responsibility that involves actual handling of funds will be bonded, the church paying the bond. A system of accounting that will adequately provide for the handling of all funds will be the responsibility of the Finance Committee.
Section 3. Guidelines For Expenditures
(1) Any budgeted expenditure in excess of one third of the total. individual budgeted allowance, with the exception of one time payment items, must be approved by the church at any regular meeting of the church by a majority vote of those present and voting.
(2) The Buildings and Grounds Committee, with the concurrence of the Treasurer, shall be authorized to obligate an expenditure of up to one thousand dollars for the emergency repair of church property or church buildings to include the Pastorium. The scope of this authority is limited to:
(a) The prevention of further damage to church property.
(b) To ensure personal safety.
(c) To ensure a comfortable atmosphere for worship.
(3) Any expenditure over one thousand dollars must be approved by the church at any regular meeting of the church~ by- a majority vote of those present and voting.
(4) All funds in excess of three thousand dollars in the checking account at the end of any given month will be transferred into the Project Savings Account.
(5) Any designated offering will be expended within twelve months of the designation unless the completion of the project for which the designation is made will require an extended period of time. In this event, the designation will be expended by the time of completion of the project. Any designated funds not expended as described above will be redistributed as directed by the church following a recommendation by the Finance Committee.
(6) Any expenditure involving the acquisition or sale of real property or the extensive renovation of existing buildings or property must be announced before the Church a minimum of two times prior to resolution at a regular meeting of the church.
Section 4. Fiscal Year
The church fiscal year will run from January 1st through December 31st of each year.
- Church Operations Manual
A special committee of the church shall develop a church operations manual to include church policies and procedures and organization charts depicting lines of responsibility in the administration of the church. The manual will be kept in the church office and made available for use there by any member of the church. The church secretary, or in the absence of that position, the pastor, will maintain ‘the manual. The Church Council or special committee will review the manual at least annually, with authority to recommend changes for the church to consider. Any church member or church organization may initiate suggested changes in the manual. Addition, revision, or deletion of church policies requires:
(1) The recommendation of the church officer or organization to whose areas of assignment the policy relates.
(2) The approval of the Church Council.
(3) The approval of the church, if the Church Council deems it necessary.
- Amendments
Changes in the constitution and by-laws may be made at any regular business meeting of the church provided that each amendment will have been presented in writing at a previous business meeting and copies of the proposed amendment will have been furnished to each member present at the earlier meeting. Amendments to the constitution will be by two-thirds vote of the church members present. Amendments to the by-laws will have a concurrence of a majority of the members present and voting.CONSTITUTION
Preamble
We declare and establish this constitution to preserve and secure the principles of our faith, and to govern the body in an orderly manner. This constitution will preserve the liberties of each individual church member and the freedom of action of tis body in its relation to other churches.
- Name
This body shall be known as First Baptist Church of Harahan, LA, located at 276 Oak Avenue, Harahan, Louisiana 70123.
- Objectives
To be a dynamic spiritual organism empowered by the Holy Spirit to share Christ with as many people as possible in our church, community, and throughout the world.
To be a worshiping fellowship, experiencing an awareness of God, recognizing His person, and responding in obedience to His leadership.
To experience an increasingly meaningful relationship with God and fellow believers.
To help people experience a growing knowledge of God and man.
To be a church that ministers unselfishly to persons in the community and world in Jesus’ name.
To be a church whose purpose is to be Christlike in our daily living by emphasizing total commitment of life, personality, and possessions to the lordship of Christ.
- Statement of Faith
The Holy Bible is the inspired word of God and is the basis for any statement of faith. The church subscribes to the doctrinal statement of “The Baptist Faith and Message” as adopted by the Southern Baptist Convention in 1963. We band ourselves together as a body of baptized believers in Jesus Christ personally committed to sharing the good news of salvation to lost mankind. The ordinances of the church are baptism and the Lord’s Supper.
- Polity and Relationships
The government of this church is vested in the body of believers who compose it. Persons duly received by the members shall constitute the membership.
All internal groups created and empowered by the church shall report and be accountable only to the church, unless otherwise specified by church action.
This church is subject to the control of no other ecclesiastical body, but it recognizes and sustains the obligations of mutual counsel and cooperation which are common among Baptist churches. Insofar as is practical, this church will cooperate with and support the Baptist Association of Greater New Orleans, The Louisiana Baptist Convention and the Southern Baptist Convention.
- Church Covenant
Having been led as we believe by the Spirt of God to receive the Lord Jesus Church as our Lord and Savior and, on the profession of our faith, having been baptized in the name of the Father, and of the Son, and of the Holy Spirit, we do now in the presence of God and this assembly most solemnly and joyfully enter into covenant with one another as one body in Christ.
We engage, therefore, by the aid of the Holy Spirit to walk together in Christina love; to strive for the advancement of this church in knowledge, holiness, and comfort; to promote is prosperity and spirituality; to sustain its worship, ordinances, doctrines, and discipline; to contribute cheerfully and regularly to the support of the ministry, the expenses of the church, and the relief of the poor, and the spread of the gospel through all nations.
We also engage to maintain family and private devotions; to religiously educate our children; to seek the salvation of our kindred and acquaintances; to walk circumspectly in the world; to be just in our dealings, faithful in our engagements, and exemplary in our deportment; to avoid all tattling, backbiting and excessive anger; to abstain from the sale of and use of intoxicating drinks as a beverage; to use our influence to combat the abuse of drugs and the spread of pornography; and to be zealous in our efforts to advance the kingdom of our Savior.
We further engage to watch over one another in brotherly love; to remember one another in prayer; to aid one another in sickness and distress; to cultivate Christian sympathy in feeling and Christian courtesy in speech; to be slow to take offense, but always ready for reconciliation and mindful of the rules of our Savior to secure it without delay.
We moreover engage that when we remove from this place we will as soon as possible unite with some other church where we can carry out the spirit of this covenant and the principles of God’s word.
BY-LAWS
- Church Membership
Section 1. General
This is a sovereign and democratic Baptist church under the lordship of Jesus Christ. The membership retains unto itself the exclusive right of self-government in all phases of the spiritual and temporal life of this church.
The membership reserves the exclusive right to determine who shall be members of this church and the conditions of such membership.
Section 2. Candidacy
Any person may offer himself has a candidate for membership in this church. All such candidates shall be presented to the church at any regular church service for membership in any of the following ways:
- By profession of faith and for baptism according to the polies of this church.
- By promise of a letter of recommendation from another Baptist church whose doctrine is in agreement with the Baptist Faith and Message as adopted by the Southern Baptist Convention in 1963.
- By statement of prior conversion experience and baptism by immersion which is in agreement with the Baptist Faith and Message as adopted by the Southern Baptist Convention in 1963.
- By Watchcare membership. Watchcare Membership is a means by which we recognize Christian friends of denominations other than Baptist who desires the spiritual ministry and fellowship of this church while residing temporarily in this community. To cover under Watchcare Membership, one must have confessed his faith in Jesus Christ as his Lord and Savior, be a member of some evangelical Christian fellowship, and had previous consultation with the Membership Committee. Watchcare Membership status does not involve the transfer of church membership, but is a way of recognizing fellow Christians and rendering them spiritual service. Those under Watchcare Membership are not to be considered voting members of the church. They are not eligible for election as deacon but are qualified under the terms of their membership to serve in positions of leadership where the matter of doctrinal teaching is not involved. Examples include, choir, nursery work, ushering, committee work, library, food service, pre-school work etc.
Should there be any dissenting vote as to any candidate, such dissent shall be referred to the membership committee for investigation and the making of a recommendation to the church within thirty (30) days. A three-fourths (3/4) vote of those church members present and voting at any regular church service shall be required to elect such candidates to membership.
Section 3. Active and Inactive Membership.
- Active Membership.
- Definition. All church members who regularly participate in the ministry and fellowship of this church.
- Active members will be entitled to all of the rights and privileges of membership which shall include:
- The right to vote in church matters.
- The right to hold church office.
- The right to hold teaching position.
- The right to have a voice in any church matter.
- Inactive Membership.
- Definition. Members who do not participate in the ministry and fellowship of this church on a regular basis.
- No participation in the worship or ministry of the church for the period of one year.
- Non-resident members who live outside the area of the Baptist Association of Greater New Orleans and who do not attend on a regular basis.
- Inactive membership will be established when:
- The member relocated from the local community and request such action.
- The Membership Committee initiate such a recommendation based upon the demonstrated inactivity of individual member.
- The recommendation is approved by the Church in a regular business meeting by a majority of those present and voting.
- The member being considered for inactive status will be notified by letter prior to the formal recommendation and will be given an opportunity to demonstrate activity or to show cause why he or she should not be placed in inactive status. The time and date of the meeting during which the recommendation will be made will be included in the letter of notification. If the Church does not hold a good address or for any other reason is unable to contact the member, he or she will be placed on inactive membership without formal notification.
- Inactive membership will result in:
- Removal of the right to vote in Church matters.
- Removal of the right to hold Church office.
- Removal of the right to hold a teaching position of any type.
- Removal of the right to have a voice in any matter of the church.
- Definition. Members who do not participate in the ministry and fellowship of this church on a regular basis.
- Reinstatement to Active Membership.
- Reinstatement to active membership may be accomplished when:
- An out of town inactive member returns to the local community and or establishes regular attendance.
- Upon the request of the local inactive member with the concurrence of the Membership Committee, after meeting with the applicant, the approval of the Church (a majority of those present and voting), and the successful completion of a three month probationary period during which regular participation is demonstrated.
- Reinstatement to active membership may be accomplished when:
Section 4. New Member Orientation
New members of this church are expected to participate in the church’s new member orientation program.
Section 5. Voting and Rights of Members
- Every active member of the church, except Watchcare, is entitled to vote at all elections and on all questions submitted to the church in conference, provided the member is present or provision has been made by the church for absentee balloting.
- Every active member of the church is eligible for consideration by the membership as candidates for elective offices in the church. Watchcare members will be eligible within the scope of their membership.
- Every member of the church may participate in the ordinances of the church as administered by the church.
Section 6. Termination of Membership
Membership shall be terminated in the following ways:
- Death of the member.
- Dismission to another Baptist church.
- Exclusion by action of this church.
- Erasure upon written request or proof of membership in a church of another denomination.
- In active status for one year.
Section 7. Discipline
It shall be the practice of First Baptist Church to emphasize to its members that every reasonable measure will be taken to assist any troubled member. The pastor, other members of the church staff, and deacons are available for counsel and guidance. The attitude of members toward one another shall be guided by a concern for redemption rather than punishment.
Should some serious condition exist which would cause a member to become a liability to the general welfare of the church, the pastor and the deacons will take every reasonable measure to resolve the problem in accordance with Matthew 18. If it becomes necessary for the church to take action to exclude a member, a two-thirds vote of the members present is required and the church may proceed to declare the person to be no longer in the membership of the church. All such proceedings shall be pervaded by a spirit of Christian kindness and forbearance.
Any person whose membership has been terminated for any condition which has made it necessary for the church to exclude him may upon his request be restored to inactive membership by a vote of the church, two-thirds present concurring, upon evidence of his repentance and reformation. Active status may then be achieved by the procedures previously established.
- Church Officers
The officers of this church shall be the pastor, the church staff, the deacons, a clerk, a treasurer, and trustees. All who serve as officers of the church shall be active members of this church.
Section 1. Pastor
The pastor is responsible for leading the church to function as a New Testament church. The pastor will lead the congregation, the organizations, and the church staff to perform their tasks.
The pastor is leader of pastoral ministries in the church. As such he works with the deacons and church staff to:
- Lead the church in the achievement of its mission.
- Proclaim the gospel to believers and unbelievers.
- Care for the church’s members and other persons in the community.
The following will be the responsibilities of the pastor:
- He is the spiritual leader and overseer of the congregation.
- Proclaim the gospel and lead the church in proclaiming the gospel to the church and community.
- Lead the staff and the church in a caring ministry for person in the church and the community.
- Lead or delegate the leadership of the congregational services, plan, coordinate and evaluate congregational services.
- Preach at all worship services which include preaching or arrange for someone else to perform this function.
- Provide administrative leadership for the total church program.
- Serve as chairman or delegate and share the leadership of the Church Council with such other staff members as he may, from time to time, designate.
- Serve as moderator of the church.
- Recommend and advise on the selection of all staff members and in determining their duties.
- Give supervision to other members of the church staff according to the staff organization set forth in the Church Organizational Chart.
- Plan for and provide leadership in the observance of the church ordinances.
- Conduct funeral services and wedding ceremonies as he is able, sharing and delegating to others on the staff responsibilities in this area.
- Appoint such special committees as the church may request or that he may deem advisable from time to time.
- Counsel with and assist in training deacons for their responsibilities.
- Serve as Ex Officio member of all church committees.
A pastor shall be chosen and called by the church whenever a vacancy occurs. The election shall take place at a meeting called for that purpose, of which at least one week’s notice to the active church membership has been given.
A pastor selection committee shall be elected by the church to seek out a suitable pastor, and its recommendations will constitute a nomination. Any church member has the privilege of making other nominations according to the policy established by the church. The committee shall bring to the consideration of the church only one name at a time. Election shall be by ballot, an affirmative vote of three-fourths of those present being necessary for a choice. The pastor, thus elected, shall serve until the relationship is terminated aby his request for by the request of the church.
The pastor may relinquish the office as pastor by giving at least two weeks’ notice to the church at the time of resignation. The church may declare the office of pastor to be vacant. Such action shall take place at a meeting called for that purpose, of which at least one week’s notice to the membership has been given. The meeting may be called upon the recommendation of a majority of the personnel committee and the deacons or by written petition signed by not less than one fourth plus one of the active church members. The moderator for this meeting shall be designated by the members present by majority vote, and he shall be someone other than the pastor. The vote to declare the office vacant shall be by secret ballot, an affirmative vote of three fourths of the members present being necessary to declare the office vacant. Except in instances of gross misconduct by the pastor so excluded from office, the church will compensate the pastor with not less than two twelfths of his total annual compensation. The termination shall be immediate and the compensation shall be rendered in not more than thirty days.
Section 2. Church Staff
The ministerial staff shall be called and employed as the church determines the need for such offices. A job description shall be written when the need for a staff member is determined. Those staff members of whom the church requires evidence of a personal call, of God to minister shall be recommended to the church by the personnel committee and called by church action with an affirmative vote of three fourths of the members present and voting. At the time of resignation at least two weeks’ notice shall. be given to the church. The church may vote to vacate such positions upon recommendation of the personnel committee, three fourths of the members present and voting, such termination being immediate and the compensation conditions being the same as for the pastor, except that the amount shall relate to the individual’s compensation. Dismissal for gross misconduct shall carry no compensation.
Non ministerial staff members shall be employed as the church determines the need for their services. The church personnel committee shall have the authority to employ and to terminate services of non ministerial staff members. Such employment and termination of services shall be with the recommendation of the supervising staff member and, as appropriate, with the consultation of related committees of the church.
Section 3. Deacons
The church may have one deacon for every fifteen (15) resident family units. A family unit is defined as an individual household as viewed in the traditional family sense. A single person may comprise a household.
The deacon will have the following qualifications:
- He shall be a man, at least twenty—five (25) years of age, and a member of the church in good standing.
- He shall conform to the qualifications of the New Testament for deacons as set forth in Acts 6 and I Timothy 3.
- He shall have been a Christian for at least three (3) years and an active member of this church for at least one (1) year.
- He must be a tither.
- He must support by active participation the total program of the church, including Sunday School, Church Training, both Sunday worship services, and the mid—week service.
- There shall be no obligation to constitute as an assigned deacon one who has been a deacon in another church but in such instances as one might be chosen by this church for assignment as a deacon, his previous ordination by another church of like faith and order shall suffice for this church.
Deacons shall serve on a rotation basis. Each year the assigned term of office of one third of the number of deacons shall expire, and election shall be held to fill vacancies and to add to the deacons such numbers as the church size warrants.
Nominations for deacon will be made by the church at large from a master list of resident male members who are at least twenty-five (25) years of age and who have been Christians for a minimum of three years and church members for at least one year. The ballot shall be published at least two Sundays prior to the nomination. The Deacon body will be responsible for the assembly and publication of the ballot. If a corrected ballot is necessary, it will be published at least one Sunday prior to the nomination. On the day of nomination, church members will vote to nominate the number of deacons on their ballot that are required. The ballots will be tabulated by the active Deacon body and a list assembled in the order of votes received. This list will not be presented to the church at large. The active deacon body wilt screen and interview each candidate, in vote sequence, to determine his qualification and willingness to serve. When the required number have been verified, those names will be presented to the church.
In case of death or removal or incapacity to serve, the church may elect a deacon to fill the unexpired term. After serving a three year term of assignment, a deacon shall be eligible for reelection to active status only after the lapse of at least one year.
In accordance with the meaning of the work and the practice in the New Testament, deacons are to be servants of the church. Their task is to serve with the pastor and staff in performing the pastoral ministries tasks of:
- Proclaiming the gospel to believers and unbelievers.
- Personal witnessing activities,
- Preaching as a layperson,
- Church revival support.
- Caring for the church’s members and other persons in the community.
- Ministering in times of crisis,
- Listening to burdened persons,
- Referring persons in need to qualified sources for assistance,
- Counseling on vocational guidance and family ministry.
- Building Christian fellowship among church members.
- Sharing information about the church’s life and work,
- Assisting in administering ordinances.
- Serving as an exemplary Christian leader.
- Set an example in Christian life-style,
- Set an example in church leadership responsibilities,
- Give personal support to church activities.
- Maintain accurate member records. This includes:
- Adding new names and pertinent information to the chronological membership roll and dropping other names as necessary through transfer, inactivity, or death.
- Correcting records for change of address or phone number.
- Sending a memo as needed to all church personnel keeping separate records to avoid incorrect information.
- Request letters by transfer from other churches for new members, forward letters to other churches requested by members, and notify persons when their names are removed from. the church roll for any reason other then transfer of membership by letter.
- Prepare and mail all official church correspondence.
- Preserve records for present and future use.
- Prepare the annual church letter to the association, submit for church approvaland send to associational office.
- Provide statistical information on the church membership as requested.
- Serve as an active member of the Church Council.
Section 5. Treasurer
The church shall elect annually a church treasurer as its financial officer. The church treasurer is responsible for the proper receipt, accounting, and disbursement of church funds within policies established by the church for adequate financial control. The treasurer may also serve as the financial secretary or this position may be delegated as a separate position. The specific duties of the treasurer will include:
- Keep accurate records in appropriate financial journals of all money received and disbursed.
- Reconcile monthly bank statements and correct ledgers as needed.
- Sign checks in accordance with church policies and procedures, always verifying supporting data for each check request.
- Make monthly and annual reports to the Finance Committee and the church.
- Provide for records of individual contributions to be maintained.
- Suggest possible investment opportunities, advise about bonds purchasing.
- Keep the church staff informed of any trends of changes in fiscal matters.
- Instill and preserve high financial morale throughout the congregation.
- Submit accurate financial records for annual audit according to church policy.
- Serve as a member of the Finance Committee
- upon rendering the annual account at the end of each fiscal year and its acceptance and approval by the church, the records shall be delivered to the church clerk, who shall keep and preserve the account as a part of the church records for a period of at least five years.
- Serve as an active member of the Church Council.
Duties of the Financial Secretary:
- Post offerings weekly to individual accounts, file envelopes.
- Provide an annual statement of giving to each contributing member.
- Provide statistical financial data as requested by the treasurer, Finance Committee, and/or the church staff.
- Serve as an ex officio member of the Church Council.
Section 6. Trustees
The trustees serve as legal representatives in all transactions related to the church. They hold legal title to the church property and they sign all documents related to the purchase, sale, mortgaging, or rental of church property after approval by the church in regular business session. There shall be a minimum of three trustees, each elected to a three (3) year term. Terms will be staggered in so far as possible. At the expiration of a three year term, a period of one (1) year must pass before that person becomes eligible to serve again. The specific duties of the trustee will include:
- Hold legal title to all church property (as required by state law) and act only as directed by the church in regular business session.
- Sign all legal documents involving church property, upon direction by the church in regular business session.
- Maintain an up—to-date inventory of all church property, mortgage loans, and insurance on church property. (Such information should be kept in a safety deposit box with copies available in the church office for ready reference.)
- Serve as an ex officio member of the Church Council.
- Church Officers
The committees of a church exist to plan, coordinate, implement, and evaluate the work assigned to them by the church. The purpose for organizing committees within this church is:
- To spread the administrative load among members of the congregation and broaden participation.
- To delegate responsibility in order that the tasks of the church might be accomplished in a more efficient manner.
- To utilize the skills and talents of members of the congregation in ministry.
- To assist in planning the program of the church.
- To provide opportunity for differing points of view to be presented and reconciled.
- To help the church in decision making.
All church committee members shall be recommended by the nominating committee and elected by the church unless otherwise indicated in the description below. As a general rule committees shall be elected annually. The Nominating Committee will also present to the church for election a recommendation for Chairman for each committee. The duties of the Chairman will include:
- Know the purpose, duties and members of the committee.
- Request and administer committee budgeting.
- Serve as an ex officio member of the Church Council.
- Plan the agenda for each meeting of the committee.
- Conduct meetings.
- Each meeting should have a purpose.
- Each meeting should have an agenda.
- Each meeting needs resources.
- Each meeting should plan for follow-up.
- Each meeting should be reported.
- Supervise the work of the committee secretary.
- Assign responsibility to committee members for follow-through actions.
- Lead the committee to:
- identify and schedule some activities/projects.
- Develop a sequence of actions.
- Prepare a timetable.
- Determine the resources needed.
- Complete activities/projects.
- Report committee actions, as appropriate, to the Church Council and/or the church business meeting.
- Collaborate, as necessary or desirable, with church staff members, church officers, Church Council, Deacons, church program directors, and other committees.
Each committee member will have the following responsibilities:
(1) Know the purpose, duties, and members of the committee.
(2) Be present and on time for meetings.
(3) Participate in discussions.
(4) Contribute to the planning and achievement of activities/projects.
(5) Complete assignments as agreed upon.
(6) Keep the committee chairperson informed about progress on assignments, report at committee meetings.
The following standing committees will be formed:
Section 1. Baptism Committee
This committee will be composed of at least one deacon and his wife. The duties of this committee will be:
(1) To meet with the candidates and the pastor for instructions prior to each baptismal service.
(2) To assist the candidates before, during and after the baptism.
(3) To Assist the pastor in any way requested.
Section 2. Benevolent Fund committee
The duties of this committee will be:
(1) To investigate any request for benevolent assistance received by the church.
(2) To make an appropriate recommendation to the pastor as to a proper disposition of the request.
Section 3. Building and Grounds/Pastorium Committee
This committee will be composed of at least three (3) members. The duties of this committee will be:
(1) To be responsible for the safe keeping, protection, maintenance, and repair of the buildings, grounds, operating facilities, and attached equipment including heating, cooling, and lighting.
(2) To be responsible for seeing that all, the equipment is in proper operating condition.
(3) To make recommendations or take actions should an emergency require, regarding the replacement of worn out items of equipment, landscaping and care of grounds and maintenance of safe conditions and parking facilities.
(4) To Work with the pastor and the Personnel Committee concerning the needs for maintenance personnel by assisting in the interview of applicants and making recommendations.
(5) To consult with the pastor in preparing an annual budget for the committee and recommend it to the Finance committee.
(6) The chairman of the committee to serve as a member of the Church Council.
Section 4. Bulletin Committee
The duties of this committee will be:
(1) To organize, arrange, and produce the weekly bulletin for Sunday services.
Section 5. The Church Council
Church Council will be composed of the following members:

The duties of the Church Council will be:
(1) To outline and propose a program of evangelism, training, teaching and enlistment for the church
(2) To outline a church calendar of activities for accomplishing these objectives.
(3) To coordinate all church program ministries and activities.
(4) To evaluate the results of all programs, ministries, and activities and be prepared to recommend changes where needed.
(5) To recommend activities and procedures to the church program organizations.
The objectives of the Church Council will be:
(1) To determine the focus and scope of the ministry of the church, both now and in the future.
(2) To use church resources wisely.
(3) To identify priorities.
(4) To coordinate the church calendar of activities.
(5) To enrich fellowship.
Section 6. Education Committee
This committee will be composed of the following:
(1) Minister of Education—Chairman
(2) Sunday School Director
(3) Church Training Director
(4) Department Directors of:
(a) Adult
(b) Youth
(c) Children
(d) Pre-School
(5) Vacation Bible School Director
The duties of this committee will be:
(1) To serve as the advisory committee to the Minister of Education giving guidance to the planning, coordination, operation and evaluation of all programs within the Educational Ministry.
(2) Work with the Building and Grounds Committee in maintenance of all educational spaces.
(3) To work with the Personnel committee relative to the creation and/or filling of positions on the Educational Ministry staff (Nursery worker etc.).
(4) To Design various ways to help the educational organization/ committees inform the church membership of the total efforts within the educational ministry.
(5) This committee will not be limited to its members for formulating
objectives or programs but will feel free to seek help from any other source that would seem to be for the benefit of the church.
(6) To formulate an annual budget for the education program of the church and present the recommendation to the Finance Committee for planning.
(7) To administer the student loan fund by making recommendations on requests for student loans, seeing that proper papers are signed and checks delivered when loans are made, and setting up a system for collection of all loans when due.
Section 7. Executive Board
This committee will consist of one member elected annually. The duties of this committee will be:
(1) To be a member of the Executive Board of the Baptist Association of Greater New Orleans.
(2) To represent the church in all matters pertaining to associational work.
(3) To keep the church informed about associational activities. Changes in the constitution and by—laws may be made at any regular business meeting of the church provided that each amendment will have been presented in writing at a previous business meeting and copies of the proposed amendment will have been furnished to each member present at the earlier meeting. Amendments to the constitution will be by two-thirds vote of the church members present. Amendments to the by-laws will have a concurrence of a majority of the members present and voting.
Section 8. Finance Committee
The function of this committee will be to plan and promote stewardship education in all areas of church life and to lead the church in budget planning, promotion, subscription, and administration. The duties of the committee will be:
(1) Estimate anticipated income based on previous year’s church income, prevailing economic conditions, past year’s giving record of membership and anticipated plans for the growth.
(2) Request that church leaders submit an itemized list of budget needs for the coming year by October let of each year.
(3) Bring all of these lists together for the first meeting of the committee and if it is necessary notify church leaders to be present at a subsequent meeting to speak to their request.
(4) After evaluation and necessary advisements are made, prepare a budget for presentation to the church for approval.
(5) Consider all requests for expenditures for budget items when money is not currently available In any given section.
(6) Hear requests for extra—budgeting ~financial expenditures and revisions and make recommendations as necessary to the church.
(7) Advise the church on financial undertakings as to soundness and effect on financial structure and credit standing of the church.
(8) Review the monthly financial report submitted by the Treasurer, making any recommendations necessary.
(9) Consider all requests to receive additional special offerings and make recommendations.
(10) Provide for an annual audit of all church financial records and books.
Section 9. Flower Committee
The duties of this committee will be:
(1) To send flowers as memorials in the name of the church as required.
(2) To arrange for fresh flowers in the auditorium or other church areas as recorded on the church flower calendar or as the church directs.
Section 10. Kitchen Committee
The duties of this committee will be:
(1) Regulate and control the operation of the kitchen.
(2) Ensure that adequate kitchen supplies are present in the kitchen at all times.
Examples: Napkins, cups, paper plates etc., financial arrangements for payment reimbursement to be made with the Finance committee and Treasurer.
(3) Recommend the purchase of any necessary kitchen equipment.
(4) Supervise the organization of the kitchen and fellowship hall for any special church events.
Section 11. Library Committee
The duties of this committee will be:
(1) To maintain an adequate church library of materials and equipment.
(2) To actively promote the use of library service materials and equipment in all
church activities and programs.
(3) To enlist volunteer personnel to adequately staff the library.
(4) To select, catalogue, and keep in good condition all, books, * periodicals, library and visual aids materials and equipment.
(5) To advise on the procurement and maintenance of all library services equipment.
(6) To provide and coordinate training programs as necessary to prepare all church workers in the proper use of library service aids.
(7) To see that the library is properly organized. Keep books, periodicals, visual aids, and library service equipment properly arranged. Schedule, announce and keep definite hours.
(8) To schedule and provide qualified operators for all library services equipment.
(9) To prepare an annual budget and recommend the budget to the Finance Committee.
Section 12. Lord’s Supper Committee
The duties of this committee will be:
(1) To prepare the table prior to the observance. This includes:
(a) Arrange for the bread and grape juice.
(b) Prepare the trays and plates.
(2) Inform deacons of changes, special services, or unusual procedures.
Section 13. Membership Committee
This committee will be composed of the Chairman of the Deacons, the President of the WMU and three members elected from the church at large. The duties of this committee will be:
(1) To make recommendations to the church concerning matters pertaining to church membership.
(2) To make recommendations to the church concerning the assignment to and removal from the inactive membership list.
Section 14. Missions Committee
This committee will be composed of the President of the Woman’s Missionary Union, The President of the Brotherhood and such other individuals as the church may elect. The duties of this committee will be:
(1) To serve as liaison between the church and any operating missions.
(2) To study the opening of new missions on the basis of committee activity and study and other requests.
(3) To promote mission activities in the church program.
(4) In consultation with the appropriate staff member, prepare an annual budget and recommend it to the Finance Committee.
Section 15. Music Committee
This committee will be composed of:
(1) Minister of Music—Chairman
(2) President of any choir
(3) Such other persons as the church may designate
The duties of this committee will be:
(1) Assist the members of the music staff in developing the music program of the church and work with them on plans, procedures and programs.
(2) Assist in providing pianists and choristers where and when needed.
(3) Determine the need for and recommend the procurement and maintenance of musical instruments or such other equipment as may be required in support of the music program.
Section 16. Nominating Committee
The function of this committee is to lead the church in the staffing of all church—elected leadership positions filled by volunteers and to approve all workers before they are enlisted to serve in church—elected positions. The duties of this committee will be:
(1) To recommend all members of every standing committee.
(2) To recommend all members of every special committee.
(3) To recommend a chairman for each standing committee.
(4) To recommend a chairman for each special committee when the committee is elected.
(5) To recommend all church—elected leadership for the Sunday School., Church Training, Woman’s Missionary Union, Brotherhood, and any other ministry programs.
(6) To recommend all church officers.
Section 17. Nursery/Preschool Committee
This committee will. consist of the Nursery Coordinator and any other persons that the church might elect. The duties of this committee will. be
(1) To see that the Nursery/Preschool is open and staffed for all church services and special meetings.
(2) To recruit and enlist volunteer workers.
(3) To recommend needed changes in equipment, personnel etc. in the Nursery/Preschool area.
(4) To review annually the Nursery/Preschool policies, make changes and submit major changes to the church for adoption.
(5) To assist in the employment of paid workers by interviewing applicants and making recommendations.
(6) To prepare an annual budget for recommendation to the Finance Committee.
Section 18. Personnel Committee
The duties of this committee will be:
(1) in consultation with the pastor, to recruit, interview, and recommend the employment of all paid ministry and staff positions with the exception of the pastor.
(2) To consult with the Finance Committee in developing and budgeting salary schedules and benefit provisions for all church staff members annually.
(3) To consult with the Finance Committee in budgeting for any additional church staff members.
(4) To prepare and update ~b descriptions as required.
(5) To develop church policies and procedures relating to church staff personnel
Section 19. Usher’s Committee
The duties of this committee will be:
(1) To enlist and instruct ushers and greeters to serve at all services of the church.
(2) To assure that the auditorium is in comfortable physical order before each service.
(3) To check to make sure offering plates, bulletins, and other needed aids and supplies are in their proper place.
(4) To greet people and provide each person with a bulletin.
(5) To create an atmosphere of genuine welcome and concern for all attending the service.
(6) To seat people according to their wishes or as seats are available.
(7) To take care of reserved sections for special guests.
(8) To provide visitors cards to visitors as required.
(9) To be attentive to the needs of persons during the services.
(10) To give direction and answer questions as needed.
(11) To greet the people at the close of the service.
(12) To be responsible for introducing visitors to members nearby.
Section 20. Vacation Bible School committee
The duties of this committee will be:
(1) To plan, coordinate, and conduct a Vacation Bible School annually during the summer school vacation for children, youth and adults as directed by the Church Council
(2) To recommend to the Finance Committee an appropriate budget to support the Vacation Bible School Program.
Section 21. Youth Committee
The duties of this committee will be:
(1) To serve as an advisory committee to the Youth Director and help plan all programs and ministries for the youth of the church.
(2) To supervise and provide chaperones for youth functions as requested.
(3) To promote and publicize the youth activities of the church.
(4) To prepare and present to the Finance Committee annually a budget recommendation for the youth program.
- Program Organizations
The church will maintain programs of Bible teaching, church member training, church leader training, new member orientation, mission educator vacation, and support and music education, training and performance. All organizations related to the church programs will be under church control,, all officers being elected by the church and reporting regularly to the church. All program activities will be subject to church coordination and approval. The church will provide the human resources, the physical resources, and the financial resources for the appropriate advancement of these programs.
Section 1. Sunday School
The Sunday School will. be the basic organization for the Bible teaching program. Its tasks will. be to teach the biblical revelation, reach persons for Christ and church membership, perform the functions of the church within its constituency, provide and interpret information regarding the work of the church and denomination. The Sunday School will be organized by departments and/or classes, as appropriate for all ages, and will be conducted under the direction of the Sunday School Director elected by the church.
Section 2. Church Training
The Church Training organization will serve as the training unit of the church. It will be divided into departments for all ages and conducted under the direction of the Church Training Director elected by the church. Its tasks will be to train church members to perform the functions of the church, train church leaders, orient new church members, teach Christian theology, Christian ethics, Christian history, church polity and organization, and provide and interpret information regarding the work of the church and denomination.
Section 3. Woman’s Missionary Union
The Woman’s Missionary union will be the mission education, mission action, and mission support organization of the church for women, young women, girls, and preschool children. Its tasks shall be to teach missions, engage in mission action, support world missions through praying and giving and provide and interpret information regarding the work of the church and denomination. The Women’s Missionary Union will have such officers and organization as the program requires.
Section 4. Brotherhood
The Brotherhood will be the church’s organization for mission education, mission action, and mission support for men, young men, and boys. Its tasks will be to teach missions, engage in mission action, support world missions through praying and giving, and provide and interpret information regarding the work of the church and denomination. The Brotherhood will have such officers and organization as the program requires.
Section 5. Church Music Program
The Church Music organization, under the direction of the church-elected music director, will be the music education, training, and performance organization of the church. Its tasks will be to teach music, train persons to lead, sing, and play music, provide music in the church and community, and provide and interpret information regarding the work of the -church and denomination. The Church MUSIC program will have such officers and organization as the program requires.
- Church Ordnances Section
Section 1. Baptism
This church will receive for baptism any person who has accepted Jesus Christ as Savior by personal faith, who professes Him publicly at any worship service and who indicates a commitment to follow Christ as Lord.
(1) Baptism will by immersion in water.
(2) The pastor, or whomever the church shall authorize, will.
administer baptism. The deacons will assist in the preparation for, and the observance of, baptism.
(3) Baptism will be administered as an act of worship during any worship service of the church.
(4) A person who professes Christ and is not baptized after a reasonable length of time will be counseled by the pastor and/or staff or deacons. If negative interest is ascertained on the part of the candidate, he will. be deleted from those awaiting baptism.
- Church Meetings
Section 1. Worship Services
The church will, meet regularly each Sunday morning, Sunday evening and Wednesday evening for the worship of Almighty God. Prayer, praise, preaching, instruction, and evangelism will be among the ingredients of these services. The pastor will direct the services for all the church members and for all others who may choose to attend.
Section 2. Special Services
Revival services and any other meetings essential to the advancement of the church’s objectives will be placed on the church calendar.
Section 3. Regular Business Meetings Amended 5/12/93
The church will hold regular business meetings on the Wednesday following the second Sunday of each month.
Section 4. Special Business Meetings
The church may conduct called business meetings to consider matters of a special nature and significance. A one-week notice must be given for the specially called business meeting unless extreme urgency renders such notice impractical. The notice will include the subject, the date, and time and place, and it must be given in such a manner that all active resident members have opportunity to know of the meeting.
Section 5. Quorum
The quorum consists of those members who attend the business meeting, provided it is a stated meeting or one that has been properly called.
Section 6. Parliamentary Rules
Robert’s Rules of Order, Revised, is the authority for parliamentary rules of procedure for all business meetings of the church.
- Church Finances
Section 1. Budget
The Finance Committee, in consultation with the Church Council, will prepare and submit to the church for approval an Inclusive budget, indicating by items the amount needed and sought for all local and other expenses. Offering envelopes will be provided for members’ use, it is understood that membership in this church involves financial obligation to support the church and its causes with regular, proportionate gifts.
Section 2. Accounting Procedures
All funds received for any and all, purposes shall pass through the hands of the church treasurer and be properly recorded on the books of the church. Those who have responsibility that involves actual handling of funds will be bonded, the church paying the bond. A system of accounting that will adequately provide for the handling of all funds will be the responsibility of the Finance Committee.
Section 3. Guidelines For Expenditures
(1) Any budgeted expenditure in excess of one third of the total. individual budgeted allowance, with the exception of one time payment items, must be approved by the church at any regular meeting of the church by a majority vote of those present and voting.
(2) The Buildings and Grounds Committee, with the concurrence of the Treasurer, shall be authorized to obligate an expenditure of up to one thousand dollars for the emergency repair of church property or church buildings to include the Pastorium. The scope of this authority is limited to:
(a) The prevention of further damage to church property.
(b) To ensure personal safety.
(c) To ensure a comfortable atmosphere for worship.
(3) Any expenditure over one thousand dollars must be approved by the church at any regular meeting of the church~ by- a majority vote of those present and voting.
(4) All funds in excess of three thousand dollars in the checking account at the end of any given month will be transferred into the Project Savings Account.
(5) Any designated offering will be expended within twelve months of the designation unless the completion of the project for which the designation is made will require an extended period of time. In this event, the designation will be expended by the time of completion of the project. Any designated funds not expended as described above will be redistributed as directed by the church following a recommendation by the Finance Committee.
(6) Any expenditure involving the acquisition or sale of real property or the extensive renovation of existing buildings or property must be announced before the Church a minimum of two times prior to resolution at a regular meeting of the church.
Section 4. Fiscal Year
The church fiscal year will run from January 1st through December 31st of each year.
- Church Operations Manual
A special committee of the church shall develop a church operations manual to include church policies and procedures and organization charts depicting lines of responsibility in the administration of the church. The manual will be kept in the church office and made available for use there by any member of the church. The church secretary, or in the absence of that position, the pastor, will maintain ‘the manual. The Church Council or special committee will review the manual at least annually, with authority to recommend changes for the church to consider. Any church member or church organization may initiate suggested changes in the manual. Addition, revision, or deletion of church policies requires:
(1) The recommendation of the church officer or organization to whose areas of assignment the policy relates.
(2) The approval of the Church Council.
(3) The approval of the church, if the Church Council deems it necessary.
- Amendments
Changes in the constitution and by-laws may be made at any regular business meeting of the church provided that each amendment will have been presented in writing at a previous business meeting and copies of the proposed amendment will have been furnished to each member present at the earlier meeting. Amendments to the constitution will be by two-thirds vote of the church members present. Amendments to the by-laws will have a concurrence of a majority of the members present and voting.
